HOW TO REGISTER A PRIVATE LIMITED COMPANY?

Step 1: Apply for Digital Signature Certificate.

Step 2: Apply for Director Identification Number (DIN).

Step 3: Check for the name availability on the M.C.A portal.

Step 4: Reserve your name in Part-A of SPICe +Form INC-32.

Step 5: e-AOA (INC-33) and e-MOA (INC-34).

Step 6: PAN and TAN application.

DOCUMENTS REQUIRED

These are the documents required to be filed with SPICe (INC-32) for a registration of a private limited company.

When the director and subscriber are Indian citizens.

All the subscribers of the company are required to sign a declaration on a stamp paper declaring their willingness to become shareholders.

  • Legal proof of registered office – Rental Agreement or Ownership Deed such as Sale Deed.
  • Other documents such as bills of electricity, water and gas but should not be older than 2 months.
  • Approval regarding the proposed name if it contains any expression(s) or word(s) that requires approval from the central government.
  • An application copy is also required to be filed along-with trademark registration certificate if the proposed name is based on registered trademark or subject matter of an application pending for registration under Trade Marks Act.
  • An NOC is also required to be filed if the registered property is rented or leased.
  • If the subscribers/Directors do not have a  DIN, they are mandatorily required to attach their Identity proof and address

B. When the director/subscriber is a Foreign National.

  • Valid Passport
  • Address proof: It can be driving license, bank statement, residential card like PR etc or any other address proof issued by the government.
